TREND DYNAMICS, INC. - END USER LICENSE

IMPORTANT: READ THIS CAREFULLY.  This End User License ("End User License") is a legal agreement between you and Trend Dynamics, Inc. ("Trend Dynamics"), granting you certain rights of access to and use of the TIPs
 website (the "Website"), including, without limitation, the equity charts (the "Equity Charts") and the mutual fund charts (the "Mutual Fund Charts" and together with the Equity Charts, the "Charts") included therein, together with any related user manuals and on-line help function that Trend Dynamics may make available from time to time (the "Documentation").  By clicking on the "ACCEPT" button or otherwise accessing or using any portion of the Website, you agree to be bound by the terms of this End User License.  If you do not agree to the terms of this End User License, click on the "CANCEL" button and do not access or otherwise use any portion of the Website.

1.  CHOICE OF CHARTS.  This End User License governs the terms and conditions of your access to and use of Website, including, without limitation, the Equity Charts and/or the Mutual Fund Charts.  By clicking on the "EQUITY" button at the end of this Agreement you will be granted access to and use of solely the Equity Charts.  By clicking on the "MUTUAL FUND" button at the end of this Agreement you will be granted access to and use of solely the Mutual Fund Charts. By clicking on the "BOTH" button at the end of this Agreement you will be granted access to and use of both the Equity Charts and the Mutual Fund Charts.  All access to any of the Charts will be subject to the terms and conditions of this Agreement.

2.  FEES.  At the end of this Agreement, you may elect to pay for your use of the Website on a monthly or quarterly basis.  Regardless of the billing cycle you select, you may use the Website for 30 days (the "Trial Period") for free and without obligation beginning on the date (i) you accept these terms and conditions of this End User License and (ii) Trend Dynamics, in its sole discretion, approves your credit worthiness (the "Effective Date").  If you wish to terminate your use of the Website prior to the end of the Trial Period simply send Tend Dynamics an e-mail to billing@trenddynamics.com with a notice to such effect.  If you do not terminate this End User License at least 7 days prior to the end of the Trial Period, your credit card will be charged automatically for use of the Website (the "License Fee") on the monthly or quarterly anniversary of the Effective Date, as the case may be.  Subject to the provisions set forth herein, if your payment is not received prior to the applicable anniversary of the Effective Date, Trend Dynamics may terminate this Agreement and your access to and use of the Charts effectively immediately.  Trend Dynamics reserves the right, in its sole discretion, to increase the monthly or annual license fee from time to time.  Any increase in such fees will be effective upon Trend Dynamics providing e-mail notice of the same to you.

3.  LICENSE GRANT.  Subject to the terms of this End User License, you are hereby granted access to and use of the Website, including, without limitation, the Charts for which you have registered and the Documentation.  This grant is revocable, non-transferable, personal and non-exclusive.  As part of your use of the Website you will select your own individual identification Username and  Ppassword at the time of registration after you have agreed to this End User License.

4.  LICENSE RESTRICTIONS.  You may not do any of the following yourself, or through any other person or entity:

A) Copy, modify or create derivative works based upon any portion of the Website or the Documentation;
   B) Decompile, disassemble, or reverse engineer any portion of the Website in whole or in part;
   C) Defeat, disable or circumvent any protection mechanism related to the Website, including without limitation, any code which necessitates agreement to this End User License before use of the Website;
   D) Sell, license, sublicense, lease, rent, distribute, disclose, permit access to, or transfer to any third party any portion of the Website or the Documentation; 
   E) Export any portion of the Website or the Documentation in violation of any laws or regulations, including U.S. Department of Commerce Export Administration regulations; or
   F) Sell, license, sublicense, lease, rent, distribute, disclose, permit access to, or transfer to any third party the User ID.

5.  TITLE AND OWNERSHIP. Except for the rights expressly granted above, this End User License transfers to you no right, title or interest in any portion of the Website, the Documentation, or any copyright, patent, trademark, trade secret or other intellectual property or proprietary right in either the Website or the Documentation. Trend Dynamics retains sole and exclusive title to all portions of the Website and the Documentation and any copies thereof, and you hereby assign to Trend Dynamics all right, title and interest in and to any modifications you may make to either the Website or the Documentation, whether or not such modifications are permitted under this End User License or otherwise.  The Website and the Documentation contain valuable proprietary information of Trend Dynamics, the unauthorized use or disclosure of which would irreparably harm Trend Dynamics.  Upon learning of any unauthorized possession, use of or access to either the Website or the Documentation, you will notify Trend Dynamics immediately, will promptly furnish details of such occurrence, will reasonably assist in preventing any recurrence thereof, and will reasonably cooperate in any litigation or other proceedings undertaken to protect the rights of Trend Dynamics.

6.  DISCLAIMERS.  YOU ACKNOWLEDGE THAT THE WEBSITE IS OFFERED ON AN "AS IS" AND "AS AVAILABLE" BASIS AND WITHOUT ANY EXPRESS OR IMPLIED REPRESENTATIONS OR WARRANTIES OF ANY TYPE (INCLUDING, WITHOUT LIMITATION, WARRANTIES OF MERCHANTABILITY, FITNESS, NONINFRINGEMENT, OR ANY IMPLIED WARRANTIES ARISING OUT OF A COURSE OF PERFORMANCE, DEALING OR TRADE USAGE).  You acknowledge and agree that the Internet is an inherently unreliable medium over which Trend Dynamics has no control.  Trend Dynamics does not guarantee continuous, uninterrupted, secure or error-free operation of the Website or that any errors in the Website will be corrected. Trend Dynamics will not be liable for the consequences of any interruptions in service, errors, breaches of security or any corruption or loss of data, in each case that may result from your access to and use of the Website or otherwise.

ALL PROJECTIONS PROVIDED BY THE WEBSITE ARE FOR ILLUSTRATIVE PURPOSES ONLY AND DO NOT GUARANTEE THE FUTURE PERFORMANCE OF ANY SPECIFIC INVESTMENT.  NO REPRESENTATIONS, WARRANTIES OR GUARANTEES ARE MADE AS TO THE ACCURACY OF ANY PROJECTION OR SUMMARY OF HISTORICAL INFORMATION PROVIDED BY THE WEBSITE. IN NO EVENT WILL TREND DYNAMICS BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, SPECIAL OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOST PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSS (UNDER ANY THEORY OF LIABILITY REGARDLESS OF WHETHER OR NOT IT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES) RESULTING FROM YOUR ACCESS TO OR USE OF THE WEBSITE.  TREND DYNAMICS' ENTIRE LIABILITY ARISING FROM THIS END USER LICENSE, WHETHER IN CONTRACT OR TORT, WILL NOT EXCEED THE AMOUNT YOU PAID TO TREND DYNAMICS UNDER THIS AGREEMENT IN THE ONE YEAR PERIOD IMMEDIATELY PRECEDING THE DATE SUCH CAUSE OF ACTION ARISES.

8.  TERM/TERMINATION.  This End Use License will become effective upon your acceptance of the terms hereof.  You may terminate this Agreement, in whole or in part and as to either or both the Equity Charts or the Mutual Fund Charts, effective immediately by submitting a written notice to such an effect to billing@trenddynamics.com at least 7 days prior to the next monthly or quarterly, as the case may be, anniversary of the Effective Date.  Unless submitting a written notice at least 7 days prior to next monthly or quarterly renewal, you will not be entitled to any refund of the License Fee regardless of the reason you terminate this End User License.  Trend Dynamics may terminate this Agreement effective immediately if you breach any term of this Agreement.  Upon termination, you will immediately return to Trend Dynamics any materials provided by Trend Dynamics to you in connection herewith.

9.  MISCELLANEOUS TERMS. This Agreement is the complete and exclusive Agreement between the parties with respect to the subject matter hereof, superseding and replacing any and all prior agreements, communications, and understandings (both written and oral) regarding such subject matter. The failure of Trend Dynamics to exercise or enforce any right hereunder will not constitute a waiver of such provision or right in that instance or any other instance.  If any provision of this Agreement is found by a court of competent jurisdiction to be invalid, the court shall endeavor to give effect to the parties' intentions as reflected in the provision and the other provisions of this Agreement shall remain in full force and effect.  This Agreement will be governed by the internal laws of the State of Ohio, exclusive of its choice of law and conflict of law principles.  You irrevocably submit to the jurisdiction of any state or federal court sitting in Cuyahoga County, Ohio, and any action or proceeding arising out of this Agreement will be heard and determined in such court.
